Terms of Service

1) Agreement

These Terms of Service (“Terms”) govern your access to and use of Gallery HR (“Gallery HR,” “we,” “our,” or “us”) websites, platform, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization.

If you do not agree, you must not use the Services.

2) Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use the Services. You may only use the Services in compliance with these Terms and applicable laws.

3) Account Registration

  • You must provide accurate and complete information when registering.

  • You are responsible for safeguarding login credentials and all activities under your account.

  • You must notify us immediately of any unauthorized use or security incident.

We are not liable for losses resulting from stolen or misused credentials.

4) Services & Access

Gallery HR provides a hosted human resource management software solution.

We reserve the right to:

  • Modify, update, suspend, or discontinue the Services at any time (with notice where feasible).

  • Deny or restrict access if you violate these Terms or applicable law.

We do not guarantee uninterrupted availability and may perform scheduled or emergency maintenance.

 

5) Customer Data & Privacy

  • Ownership: You retain ownership of all HR data (“Customer Data”) you upload or manage.

  • License to Us: You grant us a limited, worldwide, royalty-free license to host, store, process, and transmit Customer Data solely for the purpose of providing the Services.

  • Data Processing: We act as a “data processor” (or “service provider”) for Customer Data. Our processing is subject to the [Privacy Policy]({{ link }}) and, where applicable, a Data Processing Addendum (DPA).

  • Backups: We maintain reasonable backup and recovery procedures, but ultimate responsibility for exporting/retaining data rests with you.

6) Acceptable Use

You agree not to:

  • Use the Services for unlawful, fraudulent, harmful, or abusive purposes.

  • Upload viruses, malware, or harmful code.

  • Attempt to gain unauthorized access or disrupt the Services.

  • Reverse engineer, decompile, or copy the Services except as permitted by law.

  • Use the Services to process prohibited categories of data (e.g., unlawful surveillance, discriminatory practices).

Violation may result in suspension or termination.

7) Payment & Subscription

  • Fees are payable in advance per the plan selected (monthly, annual, or otherwise agreed).

  • All payments are non-refundable except as required by law or expressly stated in writing.

  • Fees exclude applicable taxes, which will be added.

  • We may suspend or terminate accounts with overdue payments.

  • We reserve the right to adjust pricing upon renewal, with prior notice.

 

8) Intellectual Property

  • The Services, including all related software, technology, designs, and trademarks, are owned by Gallery HR and its licensors.

  • No rights are granted except as expressly set forth in these Terms.

  • You may not use our brand, trademarks, or content without prior written permission.

9) Confidentiality

Both parties agree to protect confidential information received from the other and use it only for purposes of the Services.

This obligation survives termination.

10) Warranties & Disclaimers

  • The Services are provided “AS IS” and “AS AVAILABLE.”

  • We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

  • We do not guarantee that the Services will be error-free, secure, or uninterrupted.

 

11) Limitation of Liability

To the fullest extent permitted by law:

  • Gallery HR shall not be liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost data, business interruption, or reputational harm).

  • Our total liability arising from or relating to the Services shall not exceed the amount paid by you in the three (3) months prior to the event giving rise to the claim.

Some jurisdictions do not allow limitations, so some of these may not apply.

12) Indemnification

You agree to indemnify, defend, and hold harmless Gallery HR, its officers, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses arising from:

  • Your use of the Services,

  • Your violation of these Terms, or

  • Your infringement of third-party rights.

13) Termination

  • You may terminate your account at any time (fees are non-refundable).

  • We may suspend or terminate your access if you breach these Terms, fail to pay fees, or create risk to the Services.

  • Upon termination, your access ends, but Sections (5, 8, 9, 10, 11, 12, 15) survive.

 

14) Governing Law & Disputes

  • These Terms are governed by the laws of {{ Jurisdiction — e.g., Singapore or Sri Lanka }}.

  • Any disputes shall be subject to the exclusive jurisdiction of the courts of {{ Jurisdiction }}.

  • You waive any right to class actions or jury trials to the maximum extent permitted by law.

15) Changes to Terms

We may modify these Terms from time to time. Updated versions will be posted with a new “Last Updated” date. Material changes will be communicated via email or in-app notice. Continued use of the Services after changes constitutes acceptance.
